Attached are copies of the recently expired contract with the Alameda Count Fair (ACF) and the new contract for the next year.</div>

As background, we had a three-year contract (2012-2014) with ACF that expired at the end of 2014. That contract made provisions for automatically extending the old contract on a month to month basis until either party wishes to change that. The old contract also had an option to renew the contract for two additional single years if mutually acceptable by both parties.</div>

The new contract is not a renewal of the old contract and for the ACF a renewal is not an option for them. What I am asking each of you to do is review the new contract to look for any liabilities we are uncomfortable with. More specifically, are there any deal breakers there. In reality, we don't have any leverage to make major changes to the contract. I didn't see anything that unduly concerned me except for the section 30 dealing with ADA issues. I don't think we have a problem there, but I don't know the regulations well enough to be certain. I asked Kaitlyn Bailey-Findley at the Fair to help us in that regard and she agree to do so.</div>

I would like to convene our discussion on this prior to our Board meeting at 7:00 pm. I don't want to spend time discussing what we have no power to change, but focus on reasonable items that may be negotiated.</div>
